Terms of Service

1. Acceptance of Terms

By accessing or using the SeasonCore platform ("Service"), operated by WayBetter Technologies LLC ("Company," "we," "us"), you ("User," "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Description of Service

SeasonCore is a cloud-based software-as-a-service (SaaS) platform designed for landscape maintenance, snow removal, and field service businesses. The Service includes, but is not limited to: client relationship management (CRM), job scheduling and dispatch, invoicing and payment processing, proposal generation, crew management, route optimization, inventory tracking, and related business management tools. The specific features available to you depend on your subscription plan.

3. User Accounts

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information;
• Maintain the security of your password and account credentials;
• Accept responsibility for all activities that occur under your account;
• Notify us immediately of any unauthorized use of your account.

You may not share your account credentials with unauthorized third parties. We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent purposes.

4. Payment Terms

SeasonCore offers tiered subscription plans with monthly or annual billing cycles. By subscribing, you agree that:

• All fees are quoted in US Dollars and are non-refundable except as required by law;
• Subscription fees are billed in advance on a recurring basis (monthly or annually);
• You authorize us to charge your designated payment method for all applicable fees;
• We may change pricing with 30 days' prior written notice; existing subscribers will be notified before any price change takes effect;
• Failure to pay may result in suspension or termination of your account.

5. Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of the paid period. Upon cancellation, your data will be retained for 90 days, after which it may be permanently deleted. You may request a data export at any time before deletion.

6. Intellectual Property

The SeasonCore platform, including all software, designs, text, graphics, logos, and trademarks, is the property of WayBetter Technologies LLC and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your business purposes during your subscription. You may not copy, modify, distribute, reverse engineer, or create derivative works based on our Service.

7. User Data & Ownership

You retain full ownership of all data you input into SeasonCore, including client records, job information, financial data, and documents. We do not claim ownership of your data. We use your data solely to provide and improve the Service. You grant us a limited license to process your data as necessary to deliver the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. USE OF THE SERVICE IS AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAYBETTER TECHNOLOGIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described in our Privacy Policy.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Wisconsin.
